Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Customer,” or “you”) and Fealty Technologies Pvt. Ltd. (“Fealty Technologies,” “we,” “our,” or “us”).

By creating an account, accessing, or using our AI-powered social media automation platform, APIs, and related services (collectively, the “Services”), you affirm that you are at least 18 years of age, have the legal authority to enter into this agreement (including on behalf of your organization if applicable), and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to “you” include that organization. If you do not agree to these Terms, you must immediately cease using the Services.

Fealty Technologies Pvt. Ltd. provides Social Media Agent, an enterprise-grade, AI-powered platform that enables users to:

• Generate text posts, images, video scripts, and marketing content via conversational AI prompts.
• Connect third-party social media accounts (YouTube, X/Twitter, Meta/Facebook, Instagram, LinkedIn) via official platform APIs.
• Publish AI-generated content directly to connected social platforms, either immediately or on a scheduled basis.
• Access analytics, content history, workflow automation, and team collaboration tools.
• Train AI models on custom brand voice and historical content (available on Professional and Enterprise plans).

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice, and to introduce new features or functionality subject to these Terms and any additional terms communicated at the time of introduction.

To access the Services, you must create an account and provide accurate, complete, and current registration information. You agree to:

• Maintain the confidentiality of your account credentials and not share your password with any unauthorized party.
• Immediately notify us at support@fealtytechnologies.com of any unauthorized use of your account or any other security breach.
• Accept responsibility for all activities that occur under your account, whether or not authorized by you, to the extent permitted by applicable law.
• Not create accounts by automated means, maintain multiple accounts for abusive purposes, or use another person’s account without permission.
• Ensure that all users with access under your organization’s subscription comply with these Terms.

Fealty Technologies is not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4.1 Subscription and Fees

Access to paid features of the Services requires a current subscription. Subscription fees, plan features, and billing cycles are as described on our pricing page at www.fealtytechnologies.com/pricing, which may be updated from time to time. All fees are quoted in United States Dollars unless otherwise stated.

4.2 Free Trials

We may offer free trial periods at our sole discretion. At the end of a trial, your account will automatically convert to the selected paid plan unless you cancel before the trial period expires. You may be required to provide payment information to begin a trial.

4.3 Billing and Renewal

Subscriptions are billed in advance on a monthly or annual basis depending on your selected billing cycle. Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You authorize us to charge your payment method on file for all applicable fees.

4.4 Price Changes

We may change our pricing with at least 30 days’ written notice prior to your next renewal date. Continued use of the Services after a price change constitutes acceptance of the new pricing.

4.5 Refunds

Except as required by applicable law or as stated in our Refund Policy, all fees are non-refundable. If you believe a billing error has occurred, you must notify us within 30 days of the charge by contacting support@fealtytechnologies.com.

4.6 Taxes

Subscription fees are exclusive of applicable taxes, levies, or duties. You are responsible for all such taxes associated with your use of the Services, excluding taxes based on Fealty Technologies’s net income.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not use the Services to:

• Generate, distribute, or publish content that is defamatory, obscene, pornographic, hateful, threatening, harassing, or otherwise unlawful.
• Infringe, misappropriate, or violate any third party’s intellectual property rights, including copyright, trademark, trade secret, or patent rights.
• Generate content that impersonates any person or organization, or misrepresents your affiliation with any entity.
• Create or spread misinformation, disinformation, synthetic media designed to deceive, or manipulative political content.
• Spam, phish, or send unsolicited commercial communications through any connected platform.
• Circumvent, disable, or interfere with security features of the Services or connected third-party platforms.
• Access the Services through automated means to scrape data, overload systems, or conduct denial-of-service attacks.
• Use the Services to develop competing products or services, or to reverse-engineer, decompile, or disassemble the platform.
• Violate the terms of service of any connected social media platform, including but not limited to YouTube, X, Meta, Instagram, and LinkedIn.
• Generate content that violates applicable advertising, consumer protection, or data privacy laws.
• Engage in any activity that would expose Fealty Technologies to legal liability or reputational harm.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and, where appropriate, referral to law enforcement.

6.1 Fealty Technologies’s Intellectual Property

The Services, including all software, algorithms, AI models, interfaces, design, documentation, trademarks, and trade secrets, are owned by or licensed to Fealty Technologies and protected by copyright, patent, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use Fealty Technologies’s trademarks, logos, or branding without prior written consent.

6.2 Your Content and License Grant

You retain all ownership rights in the content you submit as prompts (“Input Content”) and the content generated by the AI on your behalf (“Output Content”), subject to the limitations of underlying AI model licenses. You grant Fealty Technologies a limited, non-exclusive, royalty-free license to process, store, and transmit your Input and Output Content solely to provide and improve the Services.

6.3 AI-Generated Content

You are solely responsible for ensuring that Output Content you publish complies with applicable laws and does not infringe third-party rights. AI-generated content may occasionally resemble existing works; Fealty Technologies does not warrant that Output Content is original or free from third-party intellectual property claims. We recommend reviewing generated content before publication.

6.4 Feedback

Any feedback, suggestions, or ideas you provide to Fealty Technologies regarding the Services may be used by us without restriction or compensation to you.

The Services integrate with third-party social media platforms including YouTube, X (Twitter), Meta (Facebook and Instagram), and LinkedIn (collectively, “Third-Party Platforms”). By connecting your accounts on these platforms, you:

• Authorize Fealty Technologies to access, read, and publish content to your accounts on those platforms on your behalf.
• Acknowledge that your use of Third-Party Platforms is governed by their respective terms of service and privacy policies, and that Fealty Technologies is not responsible for the actions or policies of Third-Party Platforms.
• Accept that Third-Party Platforms may modify, restrict, or revoke API access at any time without notice, which may affect the availability of certain features.
• Represent that you have the authority to connect the accounts you link, and that such connection does not violate any agreement with the applicable platform.
• Understand that content published to Third-Party Platforms becomes subject to their terms, community standards, and content moderation policies.

Fealty Technologies is not liable for any penalties, account suspensions, or other consequences resulting from your use of Third-Party Platform integrations in violation of those platforms’ terms.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FEALTY TECHNOLOGIES PVT. LTD. DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, SUITABLE FOR YOUR PURPOSES, OR FREE FROM INTELLECTUAL PROPERTY INFRINGEMENT; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

You assume all risk associated with the use of AI-generated content, including risk of inaccuracy, platform policy violations, brand damage, and legal liability arising from published content. We strongly recommend human review of all AI-generated content before publication.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FEALTY TECHNOLOGIES PVT. LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL FEALTY TECHNOLOGIES PVT. LTD.’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO FEALTY TECHNOLOGIES PVT. LTD. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Fealty Technologies Pvt. Ltd. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of and access to the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; (d) any content you generate, publish, or distribute using the Services; (e) your violation of any applicable law or regulation; or (f) your negligence or willful misconduct. This indemnification obligation survives the termination of these Terms.

11.1 Term

These Terms commence when you first access the Services and remain in effect until terminated by you or by Fealty Technologies.

11.2 Termination by You

You may terminate your subscription and account at any time through the account settings dashboard or by contacting support@fealtytechnologies.com. Termination will take effect at the end of your current billing period. No refunds will be issued for the remainder of a billing period unless required by applicable law.

11.3 Termination by Fealty Technologies

We may suspend or terminate your access to the Services immediately, without prior notice or liability, if we determine in our reasonable judgment that you have breached these Terms, engaged in conduct that may expose Fealty Technologies to legal liability, or if required by law. We may also terminate the Services generally with 30 days’ notice to all customers.

11.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will provide a 30-day window to export your data before permanent deletion, unless termination is for cause, in which case we may delete data immediately. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us at akshats@fealtytechnologies.com. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

Any unresolved disputes shall be settled by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or virtually, and judgment on the award may be entered in any court with jurisdiction. YOU AND FEALTY TECHNOLOGIES PVT. LTD. WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LITIGATION.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email (to the primary account email) and/or by posting a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance. If you do not agree to updated Terms, you must discontinue use before the effective date.

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Fealty Technologies regarding the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
• Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, acts of government, cyberattacks, or infrastructure failures.
